The Paralegal will support the management and governance of the Company’s legal entities across multiple jurisdictions. While this role includes administrative coordination, it also requires a foundational understanding of corporate structures, key governance documents, and how entity‑related actions are authorized and documented.
Under the supervision of the Senior Legal Counsel, this rolewill assist in maintaining entities in good standing, ensuring that corporate records are accurate and consistent, and supporting the preparation and review of resolutions and filings to confirm that they reflect the proper authorities and approvals.
This position enhances the Companies House function by adding junior legal capability, improving accuracy in corporate documentation, and ensuring that governance tasks are carried out with attention to detail and a sound understanding of corporate formalities.
Key Responsibilities
- Entities Management and Governance
- Assist in maintenance of accurate statutory registers, corporate records, and internal database for all group entities;
- Assist counsels in the review articles of association, shareholder agreements, and governance documents to determine correct authorities and signing requirements; and
- Coordinate incorporations, dissolutions, reorganizations, and changes to entity structures under guidance of Legal.
- Regulatory Filings and Compliance
- Coordinate the preparation and filing of any statutory submissions with relevant registries through external service providers;
- Track filing deadlines, corporate compliance calendars, statutory obligations, and ensuring the entities remain in good standing; and
- Liaise with corporate service providers, notaries, and local agents where cross-border or jurisdiction specific filings are required.
- Corporate Documentation and Templates
- Assist in drafting of board and shareholder resolutions, written consents, officer appointments/removals, and corporate documentation;
- Maintain and update template resolutions and corporate checklists; and
- Support the implementation and upkeep of corporate management tools and databases
- Transactional and Internal Support
- Under Legal’s guidance, support internal restructurings, intercompany agreements, M&A, and other transactions that require corporate documentation;
- Manage document execution processes and liaise with notaries and service providers on any relevant certification or apostille requirements; and
- Liaise with relevant services providers or the corporate registries for corporate extract, certificates, and other document requirements as requested by internal stakeholders
- Recent graduate in Law (Grado en Derecho / LL.B. or equivalent) or a related field (Legal Studies, Paralegal Studies)
- Prior internship exposure in entity management, corporate secretarial services, or corporate paralegal work is a plus
- Familiarity with corporate constitutional documents (AoAs, shareholder agreements, director vs officer roles, authority structures)
- Experience in corporate registry filings or similar regulatory or compliance work
- Exposure to multiple jurisdictional work (academic, internship, or prior job) a strong plus
- Fluency in English is a must; knowledge of any other language is a plus
- Understanding of corporate structures, directorships, and governance concepts
- Strong attention to detail and accuracy when handling legal documents
- Ability to understand and interpret corporate documents
- Highly organized, capable of managing multiple entities and deadlines
- Strong written communication skills
- Ability to work independently yet collaborative with multidisciplinary teams
